These Terms of Service (the "Terms") are a legal document between you ("you", "your") and BaiSed ("BaiSed", "BaiSed App," "we," "our," or "us") a Vidma tv Co.,Ltd.
The BaiSed Program is designed to connect you with our participating brand partners to earn Points, XP, and exclusive rewards. By registering for an account and using the App, you acknowledge and agree that you are directing BaiSed to share the information you provide—including your registration data and purchase behavior captured via receipt scans—with our participating brand partners. This data sharing occurs regardless of your direct interaction with a specific brand, as it enables us to personalize your experience and surface relevant earning opportunities. Our brand partners may use your information to engage with you through the App or other communication channels in accordance with their own respective privacy policies. You understand that BaiSed does not control, and is not responsible for, the privacy practices or the content of communications from these third-party brands. A list of our current participating brand partners is available within the App and is updated regularly. The value you receive from the Program is directly tied to the nature of your interaction with these brands. If you no longer wish to share your information with our brand partners, you must cease using the Services and delete your account.
The Services provided by BaiSed are intended for your personal, non-commercial use only. You are strictly prohibited from reselling, leasing, or providing access to the Services to any third party. To use BaiSed, you must be at least 13 years of age (or the age of majority in your jurisdiction). The Services are not directed at children under the age of 13, and BaiSed does not knowingly collect or maintain personal information from anyone under this age.
Subject to your ongoing compliance with these Terms, you are permitted to register for one (1) individual account with BaiSed. If your access to the Services has been previously suspended, terminated, or deactivated by us for any reason, you are strictly prohibited from creating a new account. By registering, you agree to (a) provide true data; supply accurate, current, and complete information as prompted by the registration forms (“Registration Data”) and (b) stay updated; maintain and promptly update your Registration Data—specifically your active mobile phone number—to ensure it remains accurate and complete. BaiSed is not liable for any loss of rewards, points, or account access resulting from outdated information. You may choose to upload a profile photo or other materials to your account. By doing so, you grant BaiSed a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, and sublicensable license to use, reproduce, display, and adapt any photos or materials you upload through the App for the purpose of operating and improving our services. You represent and warrant that any photo or material you upload (i) is owned by you or that you have the necessary legal rights to use and license it to us; (ii) does not infringe upon the intellectual property, privacy, or publicity rights of any third party; (iii) is not offensive, harassing, violent, pornographic, or otherwise deemed inappropriate by the BaiSed team. While we do not monitor every upload, BaiSed reserves the right, at its sole discretion, to remove any content or photos we deem inappropriate or in violation of these terms without prior notice to you.
When you register for a BaiSed account, you will establish login credentials (such as a password or username) and may enable biometric or device-based authentication. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree not to share, sell, or transfer your account or password to any third party. If you suspect any unauthorized access or a security breach, you must notify the BaiSed team immediately via our official support channels. BaiSed will assume that any activity or transaction performed through your account is authorized by you.
To keep the BaiSed ecosystem healthy and active, your account will be classified as inactive and any accumulated Points will expire if you choose to stop participating in the program or if you fail to engage in a point-earning activity (such as scanning a valid receipt) or a point-redemption activity for a continuous period of ninety (90) days. To help you keep your rewards, BaiSed will provide a courtesy notice after sixty (60) days of inactivity via BaiSed App’s notification, warning you that your Points are scheduled to expire in thirty (30) days. You can easily prevent your account from becoming inactive and safeguard your Points by logging in and either successfully earning new Points or redeeming your current balance for a Reward before the 90-day deadline passes. Please note that while expired Points are permanently forfeited and cannot be recovered, you may reactivate your BaiSed account at any time by logging in and earning new Points, which will then be subject to the Terms of Service currently in effect.
The BaiSed App allows you to earn points (“Points”) by scanning valid receipts for qualifying purchases, completing featured brand campaigns (“Campaigns”), participating in surveys, using referral codes, or engaging in other activities as detailed within the App. Please note that Offers are dynamic: BaiSed reserves the right to remove or modify any Campaigns at any time at our sole discretion. Points will only be awarded if the receipt is scanned and processed while the specific Campaign is still active in the App. To earn Points, any receipt you scan must be clear and contain a product description specific enough for our system to verify the purchase. By uploading a receipt or linking an account, you grant BaiSed permission to process the document and extract all printed details via our OCR and AI systems. If your receipt clearly shows a qualifying purchase that meets the specific terms of an active Campaign, Points will be credited to your account accordingly. While we strive for universal coverage, BaiSed may be unable to process receipts from certain retailers. We reserve the right to exclude specific stores or transaction types from earning Points. We do not accept receipts, and will not award Points, for transactions dated more than thirty (30) calendar days prior to the date of upload. To ensure system integrity and prevent abuse, BaiSed may limit the maximum number of receipts a user can process within a specific timeframe (e.g., weekly or monthly limits), as notified within the App.
Once your Point balance reaches the Minimum Redemption Amount—the minimum number of Points required to claim any available reward (“Reward”)—you may request a redemption. Please note that the Minimum Redemption Amount is subject to change at any time at the sole discretion of BaiSed. Points are not legal tender, do not accrue interest, and have no cash value. They are solely a digital measurement used to exchange for Rewards within the App. Rewards are never sent automatically; you must manually initiate a request within the App. BaiSed does not guarantee that any specific Reward or Campaign will be available at all times. We reserve the right to change, remove, or discontinue any Reward or Campaign without prior notice. Furthermore, certain Rewards may be exclusive to specific user tiers or geographic locations.
When you choose to redeem your Points, you must select your desired Reward (such as a digital gift card, physical product, or brand-specific voucher) through the App’s interface. Once your redemption request is processed and authorized, your Point balance will be immediately reduced by the amount designated for that Reward. All redemptions are final and non-refundable. Rewards cannot be returned, exchanged for cash, or cancelled once the request has been submitted, unless explicitly stated otherwise within the App. BaiSed is not responsible for any loss, theft, or delay of a Reward once it has been issued. For digital vouchers, ensure your Registration Data (including your mobile number and email) is accurate, as we are not liable for rewards sent to incorrect or outdated contact details. Users of the BaiSed App acknowledge that they hold no property rights in accumulated Points and agree that Points may only be used as explicitly described within these Terms. Points possess no cash, monetary, or equivalent value and are strictly prohibited from being redeemed, in whole or in part, for physical currency. Your Point balance is personal to your account and is non-transferable; it cannot be divided, inherited through legal proceedings or death, or combined with the Points of any other BaiSed member. Furthermore, Points may not be brokered, bartered, pledged, gifted, or sold to third parties. Only active members of the Program are eligible to redeem Points, and any Points that have reached their expiration date are permanently forfeited and cannot be used for any transaction.
BaiSed provides a dedicated feature for earning Points through digital purchases or electronic receipts (“e-Receipts”). Unlike physical receipts, e-Receipts must be submitted through the specific methods supported within the App, such as utilizing the system "Share" function from authorized merchant applications or by uploading valid digital files (e.g., PDFs or image exports) downloaded directly from recognized e-commerce platforms. By submitting an e-Receipt, you represent and warrant that the digital document is an authentic, unaltered record of your personal purchase and that you are the authorized owner of the account from which the receipt originated. BaiSed does not currently require you to link your email or third-party login credentials; however, you acknowledge that all digital submissions are subject to the same verification, anti-fraud, and processing rules as physical receipts. We reserve the right to verify the metadata of any uploaded file to ensure its validity. Any attempt to submit manipulated digital screenshots, duplicate digital files, or receipts belonging to other individuals will be considered a violation of these Terms and may result in the immediate forfeiture of Points and account suspension. BaiSed reserves the right to add or remove support for specific digital merchants and e-receipt formats at its sole discretion without prior notice.
BaiSed XP (Experience Points) is a non-monetary scoring system used to track user engagement and progression within the App. XP has no cash value, cannot be transferred, and cannot be redeemed for Points directly.
You may earn XP by completing various activities, including but not limited to: scanning or uploading valid receipts, using the "Spin the Wheel" feature, interacting with friends (Nudging, Saluting, or Reacting to Feed activity), completing "BaiSed Quests," maintaining a scanning streak, and other features as introduced.
As you accumulate XP, your account will progress through "Levels." Your current Level determines your eligibility to unlock specific rewards within the BaiSed Pass.
The BaiSed Pass is a monthly progression system that grants rewards based on your Level. By participating in BaiSed XP and the BaiSed Pass, you acknowledge and agree to the following: (i) the BaiSed Pass resets on the first day of every calendar month. Upon reset, your Pass Level and progress will return to zero, and a new set of rewards will be introduced. (ii) Any rewards associated with Levels that you did not reach (unearned XP) by the end of the month will be reset and permanently forfeited. (iii) However, if you have earned sufficient XP to unlock a reward but failed to manually click the "Claim" button within the App before the month ends, BaiSed will automatically credit those unlocked rewards to your account upon the reset of the Pass. (iv) Pass rewards may include, but are not limited to: BaiSed Points, Profile Badges, free spins, or temporary "Perks" (such as a percentage-based Point multiplier for future scans). Any "Perk" or Point multiplier earned through the BaiSed Pass is temporary and will expire at the end of the current calendar month unless otherwise stated.
To maintain a fair and sustainable ecosystem, BaiSed reserves the absolute right to add, remove, or modify the XP earning rates, Level requirements, and the types or values of rewards offered in the BaiSed Pass at any time without prior notice. By participating in BaiSed XP and the BaiSed Pass, you acknowledge and agree to the following: (i) We may adjust the "difficulty" of levels or the "payout" of rewards to ensure the stability of the app's economy. (ii) These features are provided "as-is" for entertainment and loyalty purposes. You agree to waive any right to pursue legal action, claims, or demands against BaiSed regarding the loss of XP, changes to Level progression, the expiration of Perks, or the modification of Pass rewards. (iii) Any attempt to "farm" XP through automated scripts, fake social interactions, or fraudulent receipt scans will result in an immediate reset of your XP/Level and may lead to a permanent account ban.
From time to time, BaiSed may offer bonus Points or other rewards when you refer a new individual who successfully joins the Program (a “Referral Program”). Any such program is subject to the specific rules and additional terms provided within the App. When you participate, BaiSed provides you with a unique referral code and pre-formatted invitation text; however, the decision of whether, how, and to whom you send these materials is at your sole discretion. You acknowledge that you do not share your friend’s personal information directly with BaiSed during this process, and BaiSed does not send referral messages on your behalf. You agree to obtain all necessary consents from an individual before sending them a referral and to inform them that: (a) you are the sole initiator of the message; (b) you are not acting as an official agent of BaiSed; and (c) you may receive a reward if they join. Please note that current or previously registered users do not qualify as "new users," and any attempt to create referrals using non-existent individuals or multiple accounts for the same person is a violation of these Terms and will be voided. BaiSed reserves the right to revoke referral bonuses if a code is shared in connection with content we deem offensive, inappropriate, or harmful. We further reserve the right to modify, discontinue, or revoke any Referral Program or incentive at our sole discretion, without prior notice.
By participating in our “Refer a Friend” program, you act as an "Advocate" for the individuals you invite. When a friend signs up using your specific referral code, the associated Points will be credited to your account only after that friend successfully completes their first valid receipt scan as a new user. To keep the process transparent, BaiSed will notify your friend that you have received a referral bonus and will similarly notify you once your friend has successfully registered and completed their first scan. BaiSed reserves the right to decline awarding referral bonuses or to rescind previously credited Points if we detect any patterns of fraudulent activity or non-compliance with these Terms.
The BaiSed Streak is a reward mechanism designed to recognize consistent, daily engagement with the App. By participating in a Streak, you acknowledge and agree to the following: (i) Maintaining and increasing a Streak, you must successfully scan a valid receipt or complete a designated daily activity within a strict 24-hour window, defined as the period from 00:00:00 (midnight) to 23:59:59 (the following midnight) in the local time zone of Thailand. (ii) As your Streak increases, you will earn incremental XP bonuses. These bonuses are subject to the same terms and conditions as standard XP and have no cash value. (iii) If you fail to complete a qualifying activity within the 24-hour window, your Streak will immediately reset to zero. Once a Streak is reset, it cannot be restored or recovered, and you must start a new Streak from day one. (iv) BaiSed reserves the right, at its sole discretion, to introduce features that allow users to protect or restore a broken Streak. The availability of these features is not guaranteed and may be subject to additional Point costs or specific Quest requirements. (v) We reserve the right to modify the timing, XP earning rates, and requirements for Streaks at any time to ensure the integrity of the App’s ecosystem. BaiSed is not liable for Streak losses caused by technical issues, network outages, or device failure.
BaiSed Social is a community feature that allows you to connect and interact with other members. You can grow your network by adding friends by entering their unique referral code or by syncing your device’s contact list. If a user joins BaiSed using your referral code, they will appear as a "Suggested Friend," and you may choose to accept or decline the connection. Once connected, you can view a friend's profile, including their current points, lifetime points, and current activity streak. You may also engage in light social features, such as "Nudging" or "Saluting" your friends. You have the absolute right to add or remove friends at any time.
The "Feed" allows you and your friends to view each other’s app activity. By participating in Social, you acknowledge and agree to the following: (i) You have the ability to react to your friend’s BaiSed Social Activity. (ii) Your friends can view your activity, including your receipt history (merchant name, total amount, and time/date of upload), completed brand campaigns, and "Spin the Wheel" results. (iii) You have the sole responsibility to manage your privacy settings. Within the App, you may choose to turn on or turn off your Feed visibility. If you do not wish for friends to see specific purchase histories or activity, you must disable these features in your settings. (iv) BaiSed is not responsible for any personal or social consequences resulting from the visibility of your activity. You acknowledge that your friends may see where and when you shop if your Feed visibility is turned on. BaiSed shall not be liable for any disputes, misunderstandings, or domestic issues arising from information displayed on your Social Feed.
The Friend Leaderboard is a private ranking that includes only you and the users you have successfully connected with on BaiSed Social. Your position is determined by the total number of Points earned within the current calendar month. This includes Points accumulated from valid receipt scans, completed brand campaigns, and "Spin the Wheel" rewards. Within this private leaderboard, your connected friends can see your username, profile picture, and exact monthly point total. Friend Leaderboards reset at the beginning of every calendar month, allowing for a fresh start in friendly competition.
The Global Leaderboard is a public-facing ranking that highlights the top-performing members of the BaiSed community. By using the Services, you acknowledge and agree to the following regarding your public profile: If you appear on the Global Leaderboard (the top 100 users) the following information is visible to all BaiSed users: (i) your display username and profile picture; (ii) your total lifetime points earned since joining BaiSed; (iii) your current activity streak; (iv) the date you joined BaiSed and created your account; (v) your total points earned within the current calendar month. While the summary data above is public, your specific receipt details (such as store names, individual item prices, or exact purchase times) remain private and are not visible on the Global Leaderboard. By participating in the Program, you explicitly acknowledge the public nature of these data points. You agree to waive any right to pursue legal action, claims, or demands against BaiSed, its founders, or its affiliates arising from the public display of this information or any social or personal consequences resulting from such visibility. The Global Leaderboard allows other users to discover your profile and send friend requests. You maintain the absolute right to accept or decline these requests. Accepting a request may grant that user access to more detailed activity information as outlined in the "BaiSed Feed" section.
While we encourage fun and friendly competition, BaiSed reserves the right to moderate the Social community. We may, at our sole discretion and without notice, remove any profile pictures, usernames, or content that we deem offensive, inappropriate, or in violation of Thai law. BaiSed is not responsible for your interactions with other users, and all social engagements are at your own risk.
By registering an account with BaiSed, you agree that we may send you transactional text messages (SMS), including essential account notices, Point expiration warnings, and security alerts. You specifically consent to receiving a One-Time Passcode (OTP) via SMS to the mobile number provided during registration to verify your identity and secure your account. You are responsible for ensuring that the phone number linked to your account remains accurate and active.
Please be advised that mobile carriers are not liable for delayed or undelivered messages. Standard message and data rates may apply for any SMS sent from us to you, or from you to us, depending on your wireless provider’s plan. Message frequency will vary based on your account activity (e.g., how often you log in or earn Points). For questions regarding your text or data plan, please contact your mobile service provider.

We will obtain your consent for marketing text and/or SMS messages separately and will provide you any necessary or required information relating to marketing text and/or SMS messages at that time.
BaiSed reserves the right to take any action, at its sole discretion, against any activity it deems unauthorized, suspicious, or fraudulent. This includes, but is not limited to, deducting your Points/XP, resetting your Streak, terminating your account, and pursuing further legal action. Prohibited activities include: (i) creating or submitting fake or digitally altered receipts, including photoshopped screenshots or modified digital files; (ii) submitting receipts for purchases not made by you, such as scanning receipts found in public areas, trash bins, or those left behind by other customers; (iii) submitting receipts for commercial, business, or wholesale purchases rather than personal, non-commercial use; (iv) engaging in "Return Fraud" by purchasing products solely to earn Points and subsequently returning those items; (v) creating multiple accounts for a single individual or utilizing automated scripts, bots, or third-party software to "farm" XP or Points; and (vi) "Retail Abuse," where an employee, cashier, or representative of a retail store scans receipts generated by other customers at their place of employment. Any attempt to exploit the App’s reward system through retail position or proximity is a direct violation of these Terms. If your Points are deducted or your account is flagged for unauthorized activity, you may dispute the action by contacting thunphon@baised.com within seven (7) days of the action; after this period, you explicitly waive any right to claim or dispute the decision. BaiSed’s final determination on what constitutes unauthorized activity is binding and conclusive.
By using the Services, you agree to receive communications and notices from BaiSed via the contact information provided in your Registration Data. As part of the Program, you may receive push notifications, SMS/text messages, in-app alerts, emails, or other digital messages sent directly from BaiSed or our participating brand partners (collectively, "Messages"). These Messages may occur both inside and outside of the App interface. You maintain control over your Message settings and can opt in or out of specific communication channels through the App’s settings or your device’s operating system. However, please note that certain messages are transactional in nature—including, but not limited to, One-Time Passcodes (OTPs), security alerts, Point expiration warnings, and account recovery notices—and you cannot unsubscribe from these while maintaining an active account. You acknowledge that standard messaging and data rates from your wireless carrier may apply. It is your sole responsibility to keep your Registration Data, especially your mobile phone number and email address, current and accurate to ensure you do not miss critical notices regarding your account, changes to these Terms, or notifications regarding the termination of the Program.
Your privacy and data security are central to the BaiSed experience. Please refer to the BaiSed Privacy Policy for detailed information on how we collect, utilize, and disclose personally identifiable information and purchase data from our users. By agreeing to these Terms or utilizing the Services, you explicitly consent to our collection, use, and disclosure of your personal data as outlined in our policy, and you acknowledge that we have provided you with comprehensive notification of our privacy practices in accordance with the Thailand Personal Data Protection Act (PDPA). The Privacy Policy describes your rights as a data subject, our data retention periods, and the security measures we employ to protect your information. You understand that your continued use of the App constitutes acceptance of any updates to the Privacy Policy, and you are encouraged to review it regularly to stay informed of how we are safeguarding your data.
Except where otherwise indicated, the Services and all associated text, images, marks, logos, and content—including, without limitation, the BaiSed name, the mascot, all original graphics, designs, interfaces, information, data, software, sound files, and the specific "look and feel" of the App (collectively, the "Content")—are the exclusive property of BaiSed or its licensors. These assets are protected by Thai and international copyright, trademark, and intellectual property laws. All rights to the Content are expressly reserved. Nothing within the Services shall be construed as granting, by implication or otherwise, any license or right to use any patent, trademark, logo, or proprietary information of BaiSed without our prior written consent.
BaiSed grants you a personal, non-commercial, limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the App for its intended purposes. This license is strictly conditioned upon the following: (i) you may only access the Content for your own informational and personal use in accordance with these Terms; (ii) you may not modify, reverse-engineer, or create derivative works from the Services or the Content; (iii) you are strictly prohibited from using data mining, robots, "scraping," or similar data gathering and extraction methods on our platform; (iv) you may not remove or alter any copyright, trademark, or proprietary notices contained within the App; (v) this license is revocable by BaiSed at any time, for any reason (such as a violation of these Terms), or for no reason at all. Any unauthorized use of the Content or Services without the prior written permission of BaiSed is strictly prohibited and will result in the immediate termination of this license and potential legal action under applicable intellectual property laws.
You represent and warrant that you are personally responsible for your conduct while using the Services. You agree that your use of the App and its Content will remain consistent with the limited license granted above and will not infringe upon the rights of any third party, breach any contract or legal duty, or violate any applicable laws in the Kingdom of Thailand or elsewhere.
BaiSed respects the intellectual property rights of others and expects its users to do the same. We take claims of copyright infringement seriously and will respond to notices of alleged infringement that comply with the Thailand Copyright Act and other applicable international intellectual property laws. In accordance with our policy, BaiSed reserves the right to terminate, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers. If you believe that any content available through the App or Services infringes upon a copyright that you own or control, you may submit a formal notification to our Designated Copyright Agent with the following information: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and where it is located within the App; (iv) your contact information (Address, telephone number, and email).
BaiSed may, from time to time, feature advertisements, brand pages, and promotions on behalf of third parties. Your business dealings, correspondence, or participation in promotions with any party other than BaiSed are solely between you and that third party. You acknowledge that: (i) all third-party content—including product descriptions, images, health claims, recipes, and "Brand Coin" utility—is provided for informational purposes only. The presence of a brand (e.g., in our "Brand Page" or "Quest" sections) does not constitute an endorsement or a warranty that their products are safe, effective, or accurate; (ii) all third-party offers, prices, and promotion values are subject to change at any time without notice; (iii) participation in the BaiSed Spin or any promotional "Spin and Win" feature is subject to the specific rules surfaced in the App. BaiSed reserves the right to modify the probability, rewards, and availability of spins at its sole discretion.
While we strive to provide a secure and accurate experience, YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. The App and all Content are provided on an "AS IS" and "AS AVAILABLE" basis. By using BaiSed App, you acknowledge that: (i) we do not guarantee that the App will be uninterrupted, error-free, or free from hacking, loss, corruption, or security intrusions. You are responsible for maintaining your own data backups and anti-virus protection; (ii) BaiSed does not sell or manufacture the products featured in Point-earning Offers. We are not responsible for any loss, injury, or damage you may suffer from purchasing or using products from our brand partners; (iii) to the maximum extent permitted by Thai law, BaiSed disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, BaiSed, its co-founders, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages whatsoever. This includes, without limitation, loss of use, loss of data, loss of profits, or any injury arising out of your use—or inability to use—the App. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS TO STOP USING THE SERVICES.
You are free to stop using the BaiSed Services at any time. You may request to withdraw from the Program and close your account by contacting us at thunphon@baised.com. Additionally, your account will automatically be deemed inactive if you do not engage with the App for a period of ninety (90) days or more, as detailed in the "Inactivity" section of these Terms. BaiSed reserves the right to suspend or terminate your access to the Services at any time, for any reason, at our sole discretion. This includes, but is not limited to, instances where we determine you have violated these Terms. Account termination may result in the immediate deletion of all Points, XP, Streaks, and Content associated with your account. We will attempt to provide advance notice before terminating an account; however, we reserve the right to terminate immediately without notice if we determine that providing notice is impractical, illegal, or potentially harmful to the security, rights, or property of BaiSed or its brand partners. BaiSed may stop providing the Services entirely at any time. If we choose to discontinue the App, we will notify you via your BaiSed account or registered phone number. Where practicable, we will provide a thirty (30) day notice period to allow you to make a final redemption request (subject to the Minimum Redemption Amount). If you fail to redeem your Points within this 30-day window, your entire Point balance will expire. Upon voluntary cancellation or account inactivation, all existing Points and XP expire immediately. It is your responsibility to redeem your balance before closing your account.
You may not assign, delegate, or transfer your account, these Terms, or any of your rights and obligations hereunder to any other person or entity without the prior written consent of BaiSed. Any unauthorized attempt to transfer Points or account access is void. BaiSed reserves the right to transfer, assign, or delegate these Terms and our rights and obligations (for example, in the event of a merger, acquisition, or sale of assets) at our sole discretion without requiring your further consent.
You acknowledge and agree that you are solely responsible for all applicable local, provincial, or national taxes, withholding requirements, and government fees associated with the accumulation of Points, the redemption of Rewards, or the receipt of any prizes or perks. BaiSed is not responsible for advising you on tax matters or for any tax liabilities you may incur as a result of participating in the Program.
Any provisions of these Terms which, by their nature, ought to survive the termination of your account or the cessation of the Services shall remain in full force and effect. This includes, but is not limited to: (i) your obligations to indemnify BaiSed and its founders; (ii) all limitations on our liability and disclaimers of warranties; (iii) all terms regarding BaiSed’s ownership of intellectual property; (iv) provisions relating to the resolution of disputes and governing law.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that specific provision shall be limited or eliminated to the minimum extent necessary. The remaining provisions of the Terms shall remain unimpaired and continue in full force and effect to ensure the continued protection of the BaiSed ecosystem.
These Terms constitute the complete and exclusive statement of the mutual understanding between you and BaiSed, superseding all previous written or oral agreements and communications. Our failure to exercise any right provided for herein shall not be deemed a waiver of any further rights. You acknowledge that no agency, partnership, joint venture, or employment relationship is created between you and BaiSed as a result of these Terms; you have no authority to bind BaiSed in any respect. You and BaiSed agree that there are no third-party beneficiaries intended under these Terms. You agree that you have not relied on any representations or promises regarding the Rewards or Services other than those expressly set forth in these Terms.
BaiSed reserves the right to change, modify, or update these Terms of Service, or any policy or guideline relating to the Services (including the Privacy Policy), at any time and at our sole discretion. This includes the right to terminate the Program entirely, which may result in the expiration of all accumulated Points and XP. Any changes will be indicated by updating the "Effective Date" at the top of these Terms. We encourage you to review the Terms frequently to stay informed of the rules governing your use of the App. Unless otherwise specified and subject to applicable law, any modifications will be effective immediately upon posting. Your continued use of the BaiSed App following the posting of changes constitutes your full acceptance of the revised Terms. If you do not agree to the updated Terms at any time, you must immediately cease all use of the Services. In such cases, your account will be handled according to the "Inactivity and Termination" sections of these Terms, and your existing Points balance will expire.
